BRANDING YOUR IDENTITY!

Terms:
       1. Description. The Designer shall create the work in accordance with the project description and specifications from Client, to be specified upon contact via email or phone.
      2. Due Date. A preliminary design shall be delivered within 10 days after the Client's authorization to commence work or, if the Client is to provide references, layouts, or specifications, after the Client has provided same to the Designer, whichever occurs later. The finished design shall be delivered 15 days after the approval of the preliminary design by Client.
      3. Grants and Rights. Upon receipt of full payment, the Designer shall grant to the client the following rights in the finished art:
          For use as Logo  for said Company.
      With respect to the  usage shown above, the Client shall have exclusive rights.
      4. Reservation of Rights. All rights not expressly granted shall be reserved to the Designer, including but not limited to all rights in preliminary designs.
       5. Fee. The Client shall pay the purchase price agreed upon. With the addition of sales tax, if required.
      6.Payment. Clinet is required to pay Designer 50% of fee as a non-refundable deposit upon acceptance of these terms. the remainder will be paid upon compleattion of project. In the event that work is postpone  at the request of the Client, the Designer shall have the right to retain the deposit and all design work until Client resumes  work.
      7. Revisions. The Designer shall be givin the first oppritunity to make any revisions requested by the Client. If the revisions are not  due to any fault on part of the Designer, an additional fee shall be charged.   8. Copyright Notice. It will be solely rested on Client to obtain any and all Copyrights to anything produced by Designer at there expense.
     9. Authorship. If the finished design is used as a contribution to a magazine or a book, authorship credit shall be given.
    10. Cancellation. In the event of cancellation by the Client, the 50% deposit will be retained for services rendered.
     11. Ownership and Return of Artwork. The ownership of the  original artwork, including  preliminary design, shall remain with the Designer.         
     12.Permissions and Releases. The Client shall indemnify and hold harmless the Designer against any and all claims, cost, and expenses, including attorney's fees, due to materials included in the work at request of the Client for which no copyright permission or privacy release was requested or used that exceed the uses allowed pursuant to a permission or release.
      13. Miscellany. If the Client authorizes the Designer to commence work, the terms of this form shall be binging upon the parties, their heirs, successors, assigns, and personal representatives: the form  constitutes the entire understanding between the parties: its terms can be modified only by an instrument in writing signed by both parties, except that  the Client may authorized expenses and revisions orally: a wavier of a breach of any of its provisions shall not be construed as a continuing wavier of other breaches of the same or other provisions hereof: and the relationship between the Client and the Designer shall  be governed by the laws of the State of Indiana.
